TERMS AND CONDITIONS
Please read this document carefully before using the Psious platform. This document contains the Terms and Conditions by which the professional is linked to Psious.
The formalization of this License of Use (as defined below) will take place by downloading, receiving and/orusing the Application (as defined below) that PSICO SMART APPS, SL, mercantile society with domicile in Barcelona, St. Antoni Maria Claret, 167, (Pabellón St. Manel), 08025 Barcelona, Spain, N.I.F. no B-66.099.532, registered in the Company Registry of Barcelona, Volume 43.916, Folio 29, Page B-441.774, Inscription 1a (hereinafter, “PSIOUS” or the “Society”), has made available through the web site www.psious.com (hereinafter, the “Website”) or the website of any of the Company’s authorized collaborators, distributors or prescribers , as well as the one that you (hereinafter, the “Professional”) agree to be bound by these
conditions of use.
You claim to be a Professional (as defined below). If you are not, please do not place any orders with PSIOUS.
1. Preconditions
Psious owns the following products (i) a mobile application that uses Psious technology (hereinafter, the “PSIOUS Technology”), (ii) a user manual on the use and operation of such application, (iii) glasses designed for virtual reality viewing (optional contracting), (v) a Web platform and (vi) a biometric sensor (optional recruitment) intended to be used by professionals in the field of psychology and / or psychiatry in people with specific phobias, fears, anxiety or other disorder related to mental health, as a complement to therapeutic or psychotherapeutic actions of their patients (hereinafter, the “Application”).
The Professional states, under his own liability, that he/she is a professional in psychology or another field related to mental health. A Professional contacts with his/her patients based on psychological or psychotherapy counseling, with the aim of offering help to change their attitudes and behavior, and/or through direct observation and psychological tests to diagnose their possible disorders and uses various psychological techniques, including therapy and psychotherapy in order to improve the adaptation of their patients. If you are not a professional in these terms, you will not be entitled to subscribe to the services described in these conditions.
These Terms and Conditions govern the use of the Application by the professional.
Psious is interested in the Professional providing regular and periodic information to Psious regarding his observations, opinions, suggestions and/or recommendations on the use or functioning of the Application and/or on the effect that the use of the Application may have on the treatment of his patients.
2. Definitions
Application: Products used by the professionals in the field of psychology and / or psychiatry with patients with specific phobias, fears, anxiety or other disorder related to mental health, as a complement to therapeutic or psychotherapeutic treatment. “Application” includes the following products:
- Web platform.
- Mobile application.
- User manual on the use and operation of this application.
- Virtual reality glasses.
- Sensor.
General Conditions: This document, including its possible modifications.
Personal Data: All information about an identified or identifiable natural person. An identifiable natural person is considered to be any person whose identity can be determined, directly or indirectly, in particular by an identifier, such as a name, an identification number, location data, an online identifier or one or more elements of the physical, physiological, genetic, psychological, economic, cultural or social identity of that person. Data Subject: the identified or identifiable natural person.
Confidential Information: The information and content of these general conditions as well as any information related to the Application as well as information relating to the reports, industrial models, utility models, production techniques, designs, patents, trademarks, logos, technical manuals, user manuals, manuals or usage documents, computer programs, software, source code, or object code, and any other industrial or intellectual property rights owned by the Parties.
Reports: Means all those documents that the Professional agrees to send to Psious containing, among others, his observations, opinions, suggestions, recommendations, comments, corrections, images, graphics, illustrations or any other information on the use and/or operation of the Application, as well as on the effect that the use of the Application may have on patients.
License: The acceptance by the Professional of the present terms and conditions, Psious provides a license of the Application to the Professional on a non-exclusive basis.
Parties: It is considered part of the present conditions both Psious and the Professional.
Professional: Physical and/or legal person who has been considered as qualified by Psious to use the application and subscribes with Psious the present conditions.
Industrial and Intellectual Property: Include (i) registered patents, designs and trademarks, utility models, intellectual property rights, and database rights; (ii) any other industrial or intellectual property rights and similar or equivalent rights anywhere in the world now existing or to be recognized in the future; (iii) applications for registration, extensions, and renewals in connection with any of the foregoing rights; and (iv) the expression of any original work or creation, in any form, tangible or intangible, including, without limitation, computer programs, applications, software, platforms, source code, object code, technical documentation, user manuals, manuals or usage documents, training materials, Reports, databases, data formats, drawings, graphics, logos, as well as the results of transformation, modification, updating, adaptation, new versions, or changes to such works or creations.

3. License Of Use
By the acceptance of these terms and conditions, Psious provides a license of the Application to the Professional on a non-exclusive basis, (“License”).
Subscribing the present terms and conditions, the Professional declares to have the licenses, authorizations and knowledge, as well as the structure and resources necessary to be able to use the Application with his/her patients. He/she may organize his/her professional activity and the time dedicated to it according to his/her
own criteria.
The License provided by the Company to the Professional is non-transferable, non-sub-licensable, limited to the time indicated in the special conditions, for the territory where the Professional carries out his professional activity and for use exclusively with patients of the Professional in the clinical and psychological field.
Psious only authorizes the Professional to use the Application in an electronic device under his/her possession or control and in the treatment of his/her patients on a voluntary basis, both for his own benefit and for the benefit of his/her patients, in accordance with the provisions of this Contract. The Professional undertakes not to assign, rent, lease, transmit, lend, sell, redistribute, license or sublicense the Application, nor make it available to third parties nor make it accessible through the Internet so that it can be downloaded by third parties for distribution or for use by third parties or by multiple mobile devices at the same time. Nor may the Professional copy, decompile, reverse engineer, disassemble, attempt to derive the source code, modify or create derivative works from the Application, any of its updates, or any part thereof, in whole or in part,
directly or indirectly.
Any of the prohibited conduct described above constitutes a violation of Psious’ rights which may result in (i) the termination of this agreement by Psious, (ii) the commencement of legal action by Psious against the infringer and (iii) a claim for damages that may be caused to Psious’ detriment.
The application of the terms of this agreement shall extend to any update, improvement, modification, or new version of the Application provided by Psious, unless such update, improvement, modification, or new version of the Application is delivered after signing a separate agreement for the purpose of regulating the use of such update, improvement, modification, or new version of the Application.
Neither Party may act on behalf of the other in front third parties, promoting or concluding contracts in its name and on its behalf, unless written consent has been given by the other Party.
This eventual Agreement does not constitute agency, merchant commission, mediation or subcontracting, or an employer-employee relationship, or a group or union of companies between the Parties.
4. Rights and Duties of the Parties
These terms and conditions regulate the rights and duties that arise between the Parties and that will be
binding on both.
The Professional undertakes to comply with his obligations and to use this License applying the diligence proper to his profession. The Practitioner may request such information regarding the Application as may be necessary to use it properly, and Psious agrees to provide such information.
During the term of these conditions, the Professional must send information to Psious, through the platform
of the Application or other means of communication (such as, for example, e-mail), which may be
observations, recommendations, suggestions and/or advice that may be appropriate for the development and
improvement of the use and/or operation of the Application.
Psious will be the full owner of such Reports and other content that the Professional delivers to the same through any format, including industrial and intellectual property rights on such Reports and other content, so the Company may: (a) show, execute, copy, create derivative works, and distribute the Reports and other contents (without reference to the source); and (b) make, have made, use, commercialize, offer its commercialization, import, export and in any way dispose of the Reports and other contents, as well as incorporate the same and the works that could be derived from the same to the Application.
The Parties understand and agree that any recommendation made by the Professional in the context of these terms and conditions is made as a mere proposal, and that, accordingly, the Professional assumes no liability whatsoever arising out of Psious’ use or non-use of the said recommendations, or the achievement of any particular purpose by Psious.
In any case, the use of the Application by the Professional is subject to the fulfillment of the requirements and to the obtaining of licenses, authorizations or consents of third parties that are of application in accordance with the established in the applicable legislation.
5. Warranty
The Application and its component elements are delivered “As Is” without express or implied warranty of fitness for a particular purpose. Psious does not warrant or make any warranty about the Application, including, without limitation, any warranty of merchantability, fitness for a particular purpose, satisfactory quality, usefulness, availability and continuity of operation or uninterrupted or error-free operation of the Application, or interoperability with other software or software, computer application, or third party device.
Psious does not warrant or take responsibility for the use of the Application by the Professional or his patients, or their ability to perform any particular purpose.
The Parties acknowledge and agree that the Clauses contained herein do not and cannot be construed as constituting an obligation of result, nor a warranty or commitment by Psious that as a result of the use of the Application, the Practitioner will effectively improve the effect of the treatments and therapies on his patients and the results thereof.
The Parties acknowledge that the outcome of treatments and therapies by the Practitioner on patients depends on aspects outside the Application, since the condition of the patients, by its nature, is not conditioned, subordinated, or dependent on the Application, therefore, the Practitioner shall hold Psious fully harmless from all damages, claims, liabilities, demands, obligations, judgments, judgments and expenses of any kind that may be incurred by the Practitioner as a result of third party claims in connection with the use by the Practitioner of the Application.
6. Orders and Purchases
The Professional may place orders by contacting Psious through any of its authorized sales representatives, who will inform the Professional of all the steps to follow to place an order in accordance with the hiring packs.
Once the order has been placed, Psious will send the Professional the products included in its contracting pack within a period of approximately twenty (20) days.
Also, Psious will send to the Professional by e-mail, to the address indicated by the Professional for this purpose, the passwords and other information for the correct use of the Application.
The price of the License will be indicated in accordance with the plan contracted through commercial communications.
The Professional accepts to receive invoices of his purchases electronically. The electronic invoices will be provided in PDF format to the e-mail address provided by the Professional.
7. Customs Information
When you order products on the Website for delivery in a non-EU country, you may be required to pay import duties and taxes, which will be charged to you at the time the package arrives at its destination. Any additional amounts due to customs clearance will be borne by you. Psious has no control over such amounts.
Customs policies vary significantly from country to country so please check with the relevant customs office for further information. Please also remember that when you formally place an order with PSIOUS, the law considers you to be an importer and you must therefore comply with all applicable laws and regulations in the country in which you receive the product.
8. Disclaimer of Liability
The Professional is solely responsible for the proper use of the Application. The information provided by the Application from the data interpreted by the Professional has a merely informative purpose and should not serve nor be used as an exclusive orientation for the Professional to make decisions about the treatment and therapy of their patients, nor does it replace the Professional’s criteria. For any decision about treatment and therapy, the Practitioner must rely on his opinion, or on the opinion of another practitioner or qualified psychology professional, but in no case on the information provided by the Application.
The Practitioner is solely responsible for reviewing and evaluating the accuracy and relevance of all information provided, stored, generated or received through the Application. In this regard, the Company does not offer any guarantee regarding the use of the Application, nor does it recommend the adoption of any particular therapy or therapeutic measure derived from the information stored or received through the Application. The Application does not and cannot be considered as constituting a consultation, treatment, therapy or medical or clinical prescription, nor is it a substitute for treatment, diagnosis, therapy or supervision by the Practitioner. The Application is not intended to inform about diagnoses or therapeutic practices, but to guide and inform the Professional who uses the Application within the possibilities offered by the same in tune with current technological advances.
The Professional explicitly exempts Psious from any responsibility for the use of the Application, as well as its administrators, employees, collaborators, partners, agents, and affiliates, which, in no case, will be responsible for losses, consequential damages, lost profits, costs, expenses, direct or indirect damages, including, among others, without limitation, damages for the interruption of the functioning of the Application, loss of data or loss of profits, damages for interruption of its activity, nor for contractual or tort liability, including negligence or fault, incurred or experienced by Professional or any third party, whether arising out of or in connection with the access to or use of the Application, the information contained in the Application, or the information which may be provided by the Application to Professional, even if advised of the possibility of such damages, or for any other cause and regardless of how it occurs.
The Parties acknowledge and accept that the Professional is fully free to apply or not to apply the recommendations that the Application proposes at any time during the provision of its services to its patients, and, in any case, the Professional exempts the Society from any liability that the Professional may incur as a result of damages that may be caused to patients or third parties by the application or non-application of the Application.
9. Confidentiality
The Parties acknowledge that disclosure of Confidential Information by the Professional during or after the term of the contractual relationship may cause serious harm to Psious.
Accordingly, Professional undertakes to preserve the confidentiality and secrecy of Confidential Information, and undertakes not to transmit such information, in whole or in part, directly or indirectly, by itself or through third parties, without the express written consent of Psious, unless disclosure is necessary to enable Professional to perform its services or the terms of this contract, or such communication is for the purpose of fulfilling a legal obligation. In addition, the Professional may share Confidential information with its employees, directors, advisors and collaborators, such third parties being jointly and severally liable for their actions.
The Parties shall take all necessary measures to preserve the confidentiality and secrecy of the Confidential Information and undertake to collaborate with the other Party in the protection of this information against any violation of it, partial or total, by third parties of which they may have knowledge.
10. Industrial and Intellectual Property
Psious has developed and is the owner and full and exclusive holder of all Industrial and Intellectual Property rights on the Application, as well as its updates, improvements, revisions, extensions, modifications, adaptations, rectifications, translations, or new versions. Psious reserves all other rights not expressly granted under this Agreement.
The Professional undertakes to respect and maintain the Industrial and Intellectual Property rights of the Application, as well as the documentation and information that Psious makes available in compliance with the provisions of these conditions.
Professional shall cooperate with Psious in the protection of said Industrial and Intellectual Property rights of the Application, or of any other Industrial and Intellectual Property rights of Psious, and shall notify the same of any infringement of said rights of which Professional has direct or indirect knowledge.
Notwithstanding the foregoing, Psious authorizes the Professional to use the graphic contents (such as, for example, images, photographs, videos, etc.) included in the Application for the performance of his professional activity and for the performance of advertising of the same, provided that in said contents mention is made of the Company or the name of the same or the Psious brand is included, all in a visible manner. This authorization is granted during the term of the License and provided that the Professional makes good use of it and does not harm the image of the Company, the Application or Psious. Likewise, the Company may revoke this authorization at any time and terminate the License if it considers that the Professional is not making good use of the graphic content or if the name of the Company or the Psious brand is not included.
11. Personal Data Protection Clause
In compliance with applicable law, we inform you that Psious is responsible for the processing of your personal data, which are necessary to provide the Service described in these conditions
The purposes carried out are: to manage the platform and license, to activate and manage the account when applicable, responding to requests, providing information related to the products.
The legal basis for the processing of your data is the execution of the agreement to provide services and the fulfillment of a legal obligation. Your personal data will not be processed for direct marketing purposes, unless you have expressly consented to this. Your data will not be transferred to third parties, except for legal obligations and unless it is necessary to carry out our service.
Your personal data will be retained for the duration of the contractual relationship and, in any case, until the deadline for asserting liability or for making claims in connection with the pre-existing contractual relationship. In all other cases, the personal data provided will be kept as long as their deletion is not requested by the interested party, in which case we will proceed to block them.
In accordance with applicable law, you have the right to access, rectify the processing of your data for direct marketing purposes and withdraw your consent, when the legal basis for processing is based on consent.
In certain circumstances, in accordance with the provisions of applicable law, you may exercise your rights of limitation of processing and portability, in which case we will only retain them for the exercise or defense of claims.
You are also informed that Psious has implemented all technical and organizational measures necessary to carry out the processing of your data.
You may exercise your rights by sending an e-mail to info@psious.com or by writing to the following address: St. Antoni Maria Claret, 167, (Pabellón St. Manel), 08025 Barcelona, Spain, holder of tax identification number B-66.099.532, providing proof of identity. Finally, in accordance with the applicable legislation, we inform you that you have the right to file a complaint with the Spanish Data Protection Agency regarding the processing of your data.
12. Duration and Termination of License
These general terms and conditions will be applicable to each Professional from the day that such Professional places an order with Psious and will remain in force indefinitely, unless otherwise provided in the contract.
The Professional may unsubscribe from the service and, therefore, terminate the License at any time provided that 15 days notice is given before the end of the current month. In the event that the Professional fails to give notice of the termination of the License, Psious may charge the Professional the amount corresponding to the following calendar month.
Likewise, in the event that the Professional fails to comply with any of the obligations contained in the present accepted general conditions applicable to the License, Psious may (i) terminate the License, (ii) take legal action against the Professional; (iii) claim damages; and (iv) require the Professional to return any element of the Application, who will be obliged to do so.
Upon completion of the License, the Professional must return to the Company all the elements that make up the Application and the glasses designed to be viewed in virtual reality, in accordance with the annual and/or monthly subscription.
Once the License is finished, the Professional must abstain from making any use of the Application and their passwords and access users will be blocked.
13. Personal data of minors
In general, Psious does not process personal data of minors. Without prejudice to the foregoing, the Professional may direct his services to minor patients, as long as he complies with the applicable legal regulations. Therefore, the Professional exonerates Psious from any liability that may arise from it.
14. Force Majeure
Neither Party shall be liable for the breach of any of the obligations assumed in this contract if such breach is due to circumstances of force majeure beyond the reasonable control of the party failing to perform, to which a reasonable period of time shall be allowed for performance.
15. Good Faith
This contract shall be performed and fulfilled in good faith, according to the terms in which it was drawn up, without misrepresenting with arbitrary interpretations the straight, proper and usual meaning of the written words, nor restricting the effects which naturally derives from the manner in which the Parties have explained their will and contracted their obligations.

17. Applicable law and jurisdiction
The terms and conditions of this Contract shall be governed by the Spanish legislation in force at any given time. The Professional expressly and irrevocably accepts to submit any controversy that could arise in the interpretation, fulfillment, or application of this Contract, to the exclusive jurisdiction of the Courts and Tribunals of the city of Barcelona (Spain).
18. Modification
The Company reserves the right to modify these general conditions. Version updated in February 2020.
