PARTICULAR CONDITIONS OF PERMANENCE OF PSICO SMART APPS, S.L. SERVICES

1. OBJECT

The object of these Special Conditions is to establish the terms of the Permanence of the License to use the Application (as defined in the previously subscribed General Conditions) as well as the Psious platform (hereinafter, the “SERVICE“), provided by PSICO SMART APPS, S.L, a commercial company with registered office in Barcelona, St. Antoni María Claret, 167, (Pavilion St. Manel), 08025 Barcelona, Spain, holder of Tax Identification Number B-66.099.532, registered in the Barcelona Commercial Registry, in Volume 43.916, Folio 29, Sheet B-441.774, 1st entry (hereinafter referred to as “PSIOUS” or the “Company“), to the Client (hereinafter referred to as the “CLIENT”).

The General Conditions of application to the SERVICE previously subscribed, complete what is foreseen in these Particular Conditions, prevailing the content of these particular conditions over the General Conditions of provision of the Service.

2. COMMITMENT OF PERMANENCE

The Customer undertakes not to terminate in advance the contractual relationship that has been stipulated and that is governed by these Special Conditions for a total of twenty-four (24) months, counting from the signing of this document. Once the planned term of stay has been fulfilled, the conditions and terms originally agreed will be understood to be extended.

Therefore, regardless of the liabilities that may arise from the breach of this agreement, as well as any compensation for damages of any kind that may be established, the breach of twenty-four (24) months’ stay by the Customer entitles Psious to claim the full amount of the contract.

CONDICIONES PARTICULARES DE PERMANENCIA DE SERVICIOS PSICO SMART APPS, S.L.

1. OBJETO

Constituye el objeto de las presentes Condiciones Particulares el establecimiento de los términos de Permanencia de la Licencia de uso de la Aplicación (según se definen en las Condiciones Generales previamente suscritas) así como de la plataforma Psious (en adelante, el “ SERVICIO ”), prestados por PSICO SMART APPS, S.L., sociedad mercantil con domicilio en Barcelona, St. Antoni María Claret, 167, (Pabellón St. Manel), 08025 Barcelona, España, portadora del N.I.F. no B-66.099.532, inscrita en el Registro Mercantil de Barcelona, al Tomo 43.916, Folio 29, Hoja B-441.774, Inscripción 1a (en lo sucesivo, “ PSIOUS ” o la “ Sociedad ”), al Cliente (en lo sucesivo, el “CLIENTE”).

Las Condiciones Generales de aplicación al SERVICIO previamente suscritas, completan lo previsto en estas Condiciones Particulares, prevaleciendo el contenido de las presentes condiciones particulares sobre las Condiciones Generales de prestación del Servicio.

2. COMPROMISO DE PERMANENCIA

El Cliente se obliga a no terminar anticipadamente la relación contractual que se ha estipulado y que se rige por las presentes Condiciones Especiales una permanencia total de veinticuatro (24) meses, contados a partir de la firma de este documento. Una vez cumplido el término previsto de permanencia, se entenderán prorrogadas las condiciones y términos originariamente pactados.

Por lo que, con independencia de las responsabilidades que pudieran derivarse del incumplimiento del presente acuerdo, así como de las eventuales indemnizaciones por daños y perjuicios de cualquier naturaleza que pudieran establecerse, el incumplimiento de permanencia de veinticuatro (24) meses por parte del Cliente legitima a Psious para reclamar el importe total del contrato.

PSICO SMART APPS, S.L. CLIENT TERMS AND CONDITIONS 

Please read this document carefully before using the Psious platform. This document  contains the terms and conditions governing the contractual relationship with Psious

The formalization of the Psious Use Licenses (as defined below) will take place by downloading,  receiving and/or using the Application (as defined below) that PSICO SMART APPS, S.L., a  company with registered office in Barcelona, St. Antoni Maria Claret, 167, (Pavilion St. Manel),  08025 Barcelona, Spain, holder of Tax Identification Number B-66.099.532, registered in the  Barcelona Mercantile Registry in Volume 43.916, Folio 29, Page B-441.774, Entry 1a (hereinafter  referred to as “PSIOUS” or the “Company”), makes available to users through the website  www.psious.com website or the website of any of the Company’s authorized partners, distributors  or prescribers (hereinafter referred to as the “Website”), as well as the one you (hereinafter referred  to as the “Client”) agree to be bound by these terms of use.

1. Pre-conditions for recruitment 

Psious owns the following products (i) a mobile application that uses Psious’ technology (“PSIOUS Technology”), (ii) a user manual on the use and operation of such application, (iii) glasses designed  for virtual reality viewing (optional purchase), (v) a web platform and (vi) a biometric sensor (optional)  intended for use by professionals in the field of psychology and/or psychiatry on people with specific  phobias, maladaptive fears, anxiety or other mental health related disorders, as a complement to the  therapeutic or psychotherapeutic actions of their patients (hereinafter referred to as the  “Application“).

The Client declares under his own responsibility that he will only allow the use of Psious’ licenses to professionals in psychology or another field related to mental health who use a series of direct  contacts with their patients based, among others, on psychological counseling and psychotherapy  with the purpose of offering them help to change their attitudes and/or behavior, and/or who, through  direct observation of his patients, selects, administers, and interprets psychological tests to diagnose  possible disorders and uses various psychological techniques, including therapy and psychotherapy,  to improve his patients’ adjustment (hereinafter referred to as the “Practitioner“)

Psious does not allow the use of its technology by non-professional third parties in the field of  psychology in the terms indicated in the previous clause. Customer expressly agrees to permit the  use of Psious’ technology only to technology professionals on the terms contains and releases  Psious from any liability for the use of its technology by non-professional psychologists.

The Client also agrees that the Professionals will read, accept and comply with the following Terms and Conditions. 

To this end, Psious is interested in the use of the Application by the Practitioner with their patients  and to provide information on a regular basis to Psious regarding their observations, opinions,  suggestions and/or recommendations on the use or operation of the Application and/or the effect  that the use of the Application may have on the treatment of their patients. 

2. Definitions

Application: Products are defined that are intended to be used by professionals in the field of  psychology and/or psychiatry on people with specific phobias, maladaptive fears, anxiety or other  mental health related disorders, as a complement to the therapeutic or psychotherapeutic actions of  their patients:

• Web platform
• Mobile application
• User’s manual on the use and operation of this application
• Virtual reality glasses
• Sensor 

General Conditions: the present document, including its possible modifications. 

Personal data: means any information relating to an identified or identifiable natural person; an  identifiable natural person is one who can be identified, directly or indirectly, in particular by reference  to an identifier, such as a name, an identification number, location data, an online identifier or one  or more factors specific to that person’s physical, physiological, genetic, mental, economic, cultural  or social identity. Stakeholder: is the identified or identifiable natural person.

Confidential Information: The information and content of the present general conditions as well as  all the information that comes to the knowledge of the Parties, in relation to the fulfillment, execution,  or interpretation of the same, related to the Application or to any of the elements that compose it  during the period of duration of the same one, or that already was known before the signature of the  same one, as well as information regarding the Application, Reports, industrial models, utility models,  production technique, designs, patents, trademarks, logos, technical manuals, user manuals,  manuals or documents of use, computer programs, software, source code, or object code, and any  other industrial or intellectual property rights that are owned by the Parties.

Reports: means all those documents that the Professional agrees to send to Psious containing,  among others, his/her observations, opinions, suggestions, recommendations, comments,  corrections, images, graphics, illustrations or any other information about the use and/or operation  of the Application, as well as the effect that the use of the Application may have on patients.

License: By accepting these terms and conditions, Psious grants a non-exclusive license to use the  Application to you.

Parties: Both Psious and the Customer are deemed to be parties to these terms and conditions.  

Client: an individual and/or a legal entity that has been deemed eligible by Psious to use the  application and/or license and that subscribes with Psious to these terms and conditions. 

Professional: Graduates in psychology or another field related to mental health who use a series of  direct contacts with their patients based, among others, on psychological counseling and  psychotherapy with the purpose of offering help to change their attitudes and/or behavior, and/or  through direct observation of their patients select, administer, and interpret psychological tests to  diagnose possible disorders and use various psychological techniques, including therapy and  psychotherapy, in order to improve the adaptation of their patients.

Industrial and Intellectual Property: means all (i) registered patents, designs and trademarks,  utility models, intellectual property rights, and database rights; (ii) any other industrial or intellectual  property rights and similar or equivalent rights anywhere in the world that exist now or are recognized  in the future; (iii) applications for registration, extensions, and renewals in connection with any of the  foregoing rights; and (iv) the expression of any original work or creation, in any form, tangible or  intangible, including, without limitation, computer programs, applications, software, platforms, source  code, object code, technical documentation, user manuals, manuals or user documents, training  materials, reports, databases, data formats, drawings, graphics, logos, as well as the results of the  transformation, modification, updating, adaptation, new versions, or changes of such works or  creations.

Company and/or Psious: PSICO SMART APPS, S.L., a company with registered offices in  Barcelona, St. Antoni Maria Claret, 167 and with tax identification number B-66.099.532.

3. Use of the license 

By accepting these terms and conditions, Psious licenses the Application to its Professionals on a  non-exclusive basis (“License“).

For the purposes of signing these terms and conditions of the Licenses, the Customer states that it  has the licenses, authorizations and knowledge, as well as the structure and resources necessary  to use the Application with its patients. At all times, you may organize your professional activity and  the time dedicated to it according to your own criteria.

The Licenses for use granted by the Company to the Client under this Agreement are non transferable, non-sublicensable, limited to the time indicated in the special conditions, for the territory  where the Client carries out his professional activity and for use exclusively on patients of  Professionals in the clinical and psychology fields. 

Psious only authorizes Customer to use the Application on electronic devices that enable it and that  are in Customer’s possession or control and in the treatment of its patients on a voluntary basis, for  its own benefit and that of its patients, in accordance with this Agreement. Both the Customer and 

the Professionals in charge of the Customer agree not to assign, rent, lease, transmit, loan, sell, redistribute, license or sublicense the Application, nor make it available to third parties or make it  accessible through the Internet so that it can be downloaded by third parties for distribution or for  use by third parties or by multiple mobile devices at the same time. Neither the Customer nor the  Professionals may copy, decompile, reverse engineer, disassemble, attempt to derive the source  code, modify or create derivative works of the Application, any of its updates, or any part thereof, in  whole or in part, directly or indirectly. 

The performance by Client or Professional of any of the prohibited conduct described above shall be  a violation of Psious’s rights and may result in (i) termination of this Agreement by Psious as  contained in Section 12 of these Terms and Conditions, (ii) legal action by Psious against the violator,  and (iii) a claim for damages that may be caused to Psious. 

The terms of this Agreement shall apply to any update, enhancement, modification, or new version  of the Application provided by Psious, unless such update, enhancement, modification, or new  version of the Application is delivered upon the execution of a separate agreement regulating the  use of such update, enhancement, modification, or new version of the Application.  

Neither party may act on behalf of the other party before third parties, promoting or concluding  business or contracts in the name and on behalf of the other party, unless written consent has been  given by the other party.  

The present Contract does not constitute nor in any case will it be understood as constituting an  agency, commercial commission, mediation or subcontracting, nor an employer-employee  relationship, nor a grouping or union of companies between the Parties. 

4. Rights and Obligations of the Parties

These terms and conditions regulate the rights and obligations that arise between the Parties and  which shall be binding on both.  

The Client agrees to comply with its obligations and to ensure that the Professionals in its charge use this License applying the diligence typical of their profession.  

Both Customer and Practitioners may request information regarding the Application that is necessary  to use the Application properly, and Psious is committed to providing such information.  

During the term of these conditions, the Professionals must send information to Psious, through the platform of the Application or other means of communication (such as, for example, e-mail), which  may be observations, recommendations, suggestions and/or advice that they consider may be  appropriate for the development and improvement of the use and/or operation of the Application. 

Psious will be the full owner and proprietor of such Reports and other content delivered to it by  Professionals in any form, including the intellectual property rights in such Reports and other content, 

and the Company may: (a) display, perform, copy, create derivative works, and distribute the Reports  and other content (without reference to the source); and (b) make, have made, use, market, offer to  market, import, export and otherwise dispose of the Reports and other content, and incorporate the  Reports and other content into the Application.

The Parties understand and agree that any recommendations made by the Professionals in the context of these terms and conditions are made on a proposal basis only, and that, accordingly, the  Professionals assume no liability whatsoever arising out of Psious’s use or non-use of such  recommendations, or the achievement of any particular purpose by Psious. 

In any case, the use of the Application by the Professionals is subject to compliance with the  requirements and to obtaining the licenses, authorizations or consents of third parties that are  applicable in accordance with the provisions of the applicable legislation. 

5. Warranty 

The Application and its component parts are provided “As Is” without any express or implied warranty  of fitness for any particular purpose. Psious does not warrant or make any representations about the  Application, including, without limitation, any warranty of merchantability, fitness for a particular  purpose, satisfactory quality, usefulness, availability and continuity of operation or uninterrupted or  error-free operation of the Application, or interoperability with other software or computer programs,  software applications, or third-party devices.  

Psious does not warrant and is not responsible for the use of the Application by you, your  Professionals or your patients, or for your ability to perform any particular purpose.  

The Parties acknowledge and agree that the Clauses contained herein do not and cannot be  construed as constituting an obligation of result, nor a guarantee or commitment by Psious that as a  result of the use of the Application, the Professionals will effectively improve the effect of the  treatments and therapies on their patients and the results thereof.  

The Parties recognize that the outcome of the treatments and therapies by the Professionals on  patients depends on aspects outside the Application, since the condition of the patients, by its nature,  is not conditioned, subordinated or dependent on the Application, therefore, the Professionals must  keep Psious fully indemnified from all damages, claims, liabilities, demands, obligations, judgments,  sentences and expenses of any kind that may be incurred as a result of claims by third parties in  relation to their use of the Application.  

6. Orders and Purchasing

The Customer may place orders by contacting Psious through any of its authorized sales  representatives, who will inform the Customer of all the steps to be taken to place the order in  accordance with the contract packs.

Once the order has been placed, Psious will send the Customer the products included in its contract  pack within approximately twenty (20) days. 

In addition, Psious will send to you by email, at the address you provide for this purpose, your  passwords and other information for the proper use of the Application.

The price of the License will be the one indicated according to the plan contracted through the  commercial communications.

The Customer agrees to receive invoices for their purchases electronically. Electronic invoices will  be provided in PDF format through the portal accessible from the private area of the platform.

7. Customs Information

When the Customer places an order for products on the Website for delivery to a country outside the  European Union, the Customer may be required to pay import duties and taxes, which will be  charged to the Customer upon arrival of the package. Any additional amounts due to customs  clearance will be borne by the Customer. Psious has no control over such amounts.  

Customs policies vary significantly from country to country, so please check with your local customs  office for more information. Please also remember that when you place an order with PSIOUS you  are formally considered an importer by law, and must therefore comply with all applicable laws and  regulations in the country where you receive the product.  

8. Disclaimer of Liability

The Customer and, jointly and severally, the Professionals are solely responsible for the proper use  of the Application. The information provided by the Application based on the data interpreted by the  Professionals is for informational purposes only and should not serve or be used as exclusive  guidance for the Professionals to make decisions about the treatment and therapy of their patients,  nor does it ever replace the judgment of the Professionals. For any decision about treatment and  therapy, the Professionals should rely on their own opinion, or the opinion of another qualified  physician or psychology professional, but in no case on the information provided by the Application.  

Professionals are solely responsible for reviewing and evaluating the accuracy and relevance of all  information provided, stored, generated or received through the Application. In this regard, the  Society does not offer any kind of guarantee regarding the use of the Application, nor does it  recommend the adoption of any particular therapy or therapeutic measure derived from the  information stored or received through the Application. The Application does not and cannot be  considered as constituting a consultation or a medical or clinical treatment, therapy or prescription,  nor does it replace treatment, diagnosis, therapy or supervision by Professionals. The Application  does not intend to inform about diagnosis or therapeutic practice, but to guide and inform the  Professional who uses the Application within the possibilities offered by it in line with current  technological advances. 

The Customer and the Professionals expressly release Psious from any liability for the use of the  Application, as well as its directors, employees, collaborators, partners, agents, and affiliates, who,  in no event, shall be liable for any loss, consequential damage, loss of profits, costs, expenses, direct  or indirect damages, including, without limitation, damages for the interruption of the operation of the  Application, loss of data or loss of profits, damages for the interruption of its business, nor for any  contractual or other liability, including negligence or fault, incurred or suffered by the Professionals  or any third party, whether arising out of or in connection with access to or use of the Application,  the information contained in the Application, or information that may be provided by the Application  to the Professionals, even if advised of the possibility of such damage, or otherwise and regardless  of how such damage occurs. 

The Parties recognize and accept that the Professionals are fully free to apply or not to apply the  recommendations that the Application proposes to them at any time during the provision of their  services to their patients, and, in any case, the Professionals release the Society from any liability  that the Professionals may incur as a result of the damages that may be caused to patients or third  parties by the application or non-application of the Application.  

9. Confidentiality

The Parties acknowledge that disclosure of Confidential Information by the Professionals, during the  term of the contractual relationship, or thereafter, may cause serious harm to Psious. 

Accordingly, both the Client and the Professionals agree to preserve the confidentiality and secrecy  of Confidential Information, and undertake not to transmit such information, in whole or in part,  directly or indirectly, by themselves or through third parties, without the express written consent of Psious, unless disclosure is necessary to enable the Professionals to perform their services or terms  of this contract, or such disclosure is in the interest of fulfilling a legal obligation. In addition, the  Client and the Professionals may share Confidential information with their employees, managers,  advisors and collaborators, and such third parties shall be jointly and severally liable for their actions. 

The Parties shall take all necessary measures to preserve the confidentiality and secrecy of the  Confidential Information and undertake to collaborate with the other Party in protecting this  information against any violation of it, in part or in whole, by third parties, of which they may become  aware.  

10. Industrial and Intellectual Property

Psious has developed and is the full and exclusive owner of all Intellectual Property rights in the  Application, as well as its updates, improvements, revisions, extensions, modifications, adaptations,  corrections, translations, or new versions. Psious reserves all other rights not expressly granted to  you under this Agreement.  

Both the Client and the Professionals undertake to respect and maintain the Intellectual Property  rights of the Application, as well as the documentation and information made available by Psious in compliance with these conditions.

You will cooperate with Psious in protecting such Intellectual Property rights on the Application, or  any other Intellectual Property rights of Psious, and will report to Psious any infringement of such  rights of which you become aware, directly or indirectly.  

However, Psious authorizes you to use the graphic content (such as images, photographs, videos,  etc.) included in the Application for the conduct of your business and for advertising purposes  provided that such content makes mention of the Company or includes the name of the Company or  the Psious trademark, all such content being visible. This authorization is granted for the term of the  License and provided that you make good use of the License and do not damage the image of the  Company, the Application or Psious. We may revoke this License at any time and terminate this  License if we believe that you are not making good use of the graphic content or if the Company  name or Psious brand is not included.  

11. Protection of Personal Data

In accordance with the applicable regulations, we inform you that Psious is responsible for the  processing of your personal data, which are necessary to provide the Service described in these  conditions. 

The purposes carried out are: manage the platform and license, activate and manage the account  when applicable, answer requests, providing information related to the products.  

The legal basis for the processing of your data is the execution of the service agreement and the  fulfilment of a legal obligation. Your personal data will not be processed for direct marketing  purposes, unless you have expressly consented to this. Your data will not be passed on to third  parties, unless legally obliged to do so and unless it is necessary to carry out our service. Clients  are also informed that in order to guarantee the service provided, they will receive an SMS to  download the App. 

Your personal data will be kept for the duration of the contractual relationship and in any case until  the time limit for liability or claims related to the pre-existing contractual relationship has expired. In  all other cases, the personal data provided will be kept for as long as the data subject does not  request their deletion, in which case we will block them. 

In accordance with the applicable legislation, you have the right to access, rectify the processing  of your data for direct marketing purposes and to revoke your consent, when the legal basis for the  processing is based on consent. 

Under certain circumstances, in accordance with the provisions of applicable law, you may exercise  your rights to limit processing and portability, in which case we will only retain them for the exercise  or defense of claims.

You are also informed that Psious has implemented all the necessary technical and organizational measures to carry out the processing of your data.

You can exercise your rights by sending an e-mail to info@psious.com or by writing to the following  address: St. Antoni Maria Claret, 167, (Pavilion St. Manel), 08025 Barcelona, Spain, with N.I.F. no.  B-66.099.532, providing proof of your identity. Finally, in accordance with the applicable legislation,  we inform you that you have the right to go to the State Data Protection Agency to file a complaint regarding the processing of your data.

12. Duration and termination of the license

These terms and conditions shall apply to each Customer from the day on which such Customer  places an order with Psious and shall remain in force indefinitely, unless otherwise provided for in  the contract.  

The Customer may cancel the service and, therefore, terminate the License at any time provided  that 15 days’ notice is given before the end of the current billing month. In the event that the Customer  fails to give such notice of termination, Psious may charge the Customer for the following calendar  month. 

In addition, in the event that Client or its Professionals fail to comply with any of the obligations  contained in these accepted terms and conditions applicable to the License, Psious may (i) terminate  the License, (ii) bring legal action against Client and the failing Professional; (iii) claim damages; and  (iv) require Client to return any element of the Application, who shall be obligated to do so. 

Upon termination of the License, Customer shall refrain from any further use of the Application and  its passwords and access users shall be blocked.  

12.1. Method of cancellation of the subscription 

It is a mandatory requirement for the cancellation of the subscription to have a mandatory 15-minute  meeting with the customer service department in order to be able to manage the cancellation  effectively.

13. Personal data of minors

In general, Psious does not process personal data of minors. Notwithstanding the above,  Professionals may direct their services to minor patients, as long as they comply with the applicable  legal regulations. Therefore, the Client and the Professionals exonerate Psious from any liability that may arise from the same.

14. Force Majeure

Neither Party shall be liable for any failure to perform any of its obligations under this contract if such  failure is due to circumstances beyond the reasonable control of the party failing to perform, which  shall be given a reasonable period of time for performance.  

15. Good Faith

This contract shall be performed and carried out in good faith according to the terms in which it has  been drawn up, without arbitrarily distorting the proper and usual meaning of the written words, nor  restricting the effects which naturally result from the way in which the Parties have explained their  will and contracted their obligations.

17. Applicable law and jurisdiction

The terms and conditions of this Contract will be governed by the Spanish legislation in force at any  given time. The Client expressly and irrevocably agrees to submit any dispute that may arise in the  interpretation, performance, or application of this Contract to the exclusive jurisdiction of the Courts  and Tribunals of the city of Barcelona (Spain). 

18. Modification

The Company reserves the right to modify these general conditions.

TÉRMINOS Y CONDICIONES DEL CLIENTE DE PSICO SMART APPS, S.L.

Por favor, lea detenidamente el presente documento antes de utilizar la plataforma de  Psious. El presente Documento recoge los Términos y Condiciones por los cuales se regirá  la relación contractual con Psious  

La formalización de las Licencias de Uso de Psious (tal y como se define más adelante) tendrá  lugar mediante la descarga, recepción y/o uso de la Aplicación (tal y como se define más  adelante) que PSICO SMART APPS, S.L., sociedad mercantil con domicilio en Barcelona, St. Antoni  Maria Claret, 167, (Pabellón St. Manel), 08025 Barcelona, España, portadora del N.I.F. no B 66.099.532, inscrita en el Registro Mercantil de Barcelona, al Tomo 43.916, Folio 29, Hoja B-441.774,  Inscripción 1a (en lo sucesivo, “PSIOUS” o la “Sociedad”), pone a disposición de los usuarios a  través del sitio web www.psious.com o del sitio web de cualquiera de los colaboradores,  distribuidores o prescriptores autorizados por la Sociedad (en adelante, el “Sitio Web”), así como  el que usted (en adelante, el “Cliente”) acepta estar vinculado por las presentes condiciones de  uso.

1. Condiciones previas a la contratación

Psious es titular de los siguientes productos (i) una aplicación móvil que utiliza la tecnología de  Psious (en adelante, la “Tecnología PSIOUS”), (ii) de un manual de usuario sobre el uso y  funcionamiento de dicha aplicación, (iii) de unas gafas diseñadas para ver en realidad virtual  (contratación opcional), (v) una plataforma Web y (vi) de un sensor biométrico (contratación  opcional) destinados a ser utilizados por profesionales del ámbito de la psicología y/o psiquiatría  en personas con fobias específicas, miedos desadaptativos, ansiedad u otro trastorno relacionado  con salud mental, como complemento de las acciones terapéuticas o psicoterapéuticas de sus  pacientes (en adelante, la “Aplicación”).  

El Cliente manifiesta bajo su propia responsabilidad que únicamente permitirá el uso de las  licencias de Psious a profesionales de la psicología o de otro campo relacionado con la salud  mental que utilice una serie de contactos directos con sus pacientes fundados, entre otros, en la  orientación psicológica y la psicoterapia con la finalidad de ofrecerle ayuda para cambiar sus  actitudes y/o su conducta, y/o que mediante la observación directa de sus pacientes seleccione,  administre, e interprete pruebas psicológicas para diagnosticar posibles desórdenes y utilice diversas técnicas psicológicas, incluyendo la terapia y psicoterapia, con el fin de mejorar la  adaptación de sus pacientes (en adelante, el “Profesional”).

Psious no permite el uso de su tecnología a terceros no profesionales de la psicología en los  términos indicados en la cláusula anterior. El Cliente se compromete expresamente a permitir el  uso de la tecnología Psious únicamente a profesionales de la tecnología en los términos  expuestos y exime de cualquier responsabilidad a Psious por el uso de su tecnología por parte de personas no profesionales de la psicología.

Asimismo, el Cliente se compromete a que los Profesionales lean, acepten y cumplan los  siguientes Términos y Condiciones.  

A estos efectos, Psious está interesada en que el Profesional utilice la Aplicación con sus pacientes  y facilite información de forma periódica y regular a Psious en relación con sus observaciones,  opiniones, sugerencias y/o recomendaciones sobre el uso o el funcionamiento de la Aplicación  y/o sobre el efecto que el uso de la Aplicación pueda tener en el tratamiento de sus pacientes.  

2. Definiciones

Aplicación: Se definen los productos orientados a ser utilizados por profesionales del ámbito de  la psicología y/o psiquiatría en personas con fobias específicas, miedos desadaptativos, ansiedad  u otro trastorno relacionado con salud mental, como complemento de las acciones terapéuticas  o psicoterapéuticas de sus pacientes Bajo el término de “Aplicación” se incluyen los siguientes  productos: 

• Plataforma web.
• Aplicación móvil.
• Manual de usuario sobre el uso y funcionamiento de dicha aplicación.
• Gafas de realidad virtual.
• Sensor.

Condiciones Generales: el presente documento, incluyendo sus posibles modificaciones. 

Datos Personales: es toda información sobre una persona física identificada o identificable; se  considerará persona física identificable toda persona cuya identidad pueda determinarse, directa  o indirectamente, en particular mediante un identificador, como por ejemplo un nombre, un  número de identificación, datos de localización, un identificador en línea o uno o varios elementos  propios de la identidad física, fisiológica, genética, psíquica, económica, cultural o social de dicha  persona. Interesado: es la persona física identificada o identificable.

Información Confidencial: La información y contenido de las presentes condiciones generales  así como toda aquella información que llegue a conocimiento de las Partes, en relación con el  cumplimiento, ejecución, o interpretación de las mismas, relacionadas con la Aplicación o con  cualquiera de los elementos que lo componen durante el plazo de duración del mismo, o que ya  se conociera con antelación a la firma del mismo, así como la información relativa a la Aplicación,  Informes, modelos industriales, modelos de utilidad, técnica de producción, diseños, patentes,  marcas, logotipos, manuales técnicos, manuales de usuario, manuales o documentos de uso,  programas de ordenador, software, código fuente, o código objeto, y cualquier otro derecho de  propiedad industrial o intelectual que sea propiedad de las Partes.

Informes:

 significa todos aquellos documentos que el Profesional se compromete a enviar a  Psious conteniendo, entre otros, sus observaciones, opiniones, sugerencias, recomendaciones,  comentarios, correcciones, imágenes, gráficos, ilustraciones o cualquier otra información sobre el uso y/o funcionamiento de la Aplicación, así como sobre el efecto que el uso de la Aplicación  pueda tener sobre los pacientes.

Licencia: aceptación por el Cliente de los presentes términos y condiciones, Psious concede  licencias de uso de la Aplicación al Cliente en régimen de no exclusividad.

Partes: Se considera parte de las presentes condiciones tanto Psious y el Cliente.

Cliente: persona física y/o jurídico que ha sido considerada como apta por Psious para usar la  aplicación y/o licencia y que suscribe con Psious las presentes condiciones.

Profesional: Titulados en psicología o en otro campo relacionado con la salud mental que utilice  una serie de contactos directos con sus pacientes fundados, entre otros, en la orientación  psicológica y la psicoterapia con la finalidad de ofrecerle ayuda para cambiar sus actitudes y/o su  conducta, y/o que mediante la observación directa de sus pacientes seleccione, administre, e  interprete pruebas psicológicas para diagnosticar posibles desórdenes y utilice diversas técnicas  psicológicas, incluyendo la terapia y psicoterapia, con el fin de mejorar la adaptación de sus  pacientes.

Propiedad Industrial e Intelectual:  significa todas (i) las patentes registradas, diseños y marcas,  modelos de utilidad, derechos de propiedad intelectual, y derechos sobre bases de datos; (ii)  cualquier otro derecho de propiedad industrial o intelectual y derechos similares o equivalentes  en cualquier lugar del mundo que existan actualmente o que sean reconocidos en el futuro; (iii)  solicitudes de registro, extensiones, y renovaciones en relación con cualquiera de los  mencionados derechos; y (iv) la expresión de cualquier obra o creación original, en cualquier  forma, tangible o intangible, incluyendo, sin limitación, programas de ordenador, aplicaciones,  software, plataformas, código fuente, código objeto, documentación técnica, manuales de  usuarios, manuales o documentos de uso, materiales de formación, Informes, bases de datos,  formatos de datos, dibujos, gráficos, logos, así como los resultados de la transformación,  modificación, actualización, adaptación, nuevas versiones, o cambios de dichas obras o  creaciones.

3. Utilización de la licencia

Mediante la aceptación por el Cliente de los presentes términos y condiciones, Psious concede  licencias de la Aplicación a sus Profesionales en régimen de no exclusividad, (en adelante, la  “Licencia”).

A los efectos de la suscripción de los presentes términos y condiciones de las Licencias, el Cliente manifiesta tener las licencias, autorizaciones y conocimientos, así como la estructura y los  recursos necesarios para poder utilizar la Aplicación con sus pacientes. En todo momento, podrá  organizar su actividad profesional, y el tiempo dedicado a la misma conforme a sus propios  criterios.

Las Licencias de uso concedidas por la Sociedad al Cliente en virtud del presente Contrato son no  transferibles, no sublicenciables, limitadas al tiempo que se indique en las condiciones especiales,  para el territorio donde el Cliente realice su actividad profesional y para uso exclusivamente en  pacientes de Profesionales en el ámbito clínico y de la psicología.

Psious únicamente autoriza al Cliente a utilizar la Aplicación en dispositivos electrónicos que lo  posibiliten y que se halle bajo la posesión o control del Cliente y en el tratamiento de sus pacientes  de manera voluntaria, tanto en beneficio propio como de sus pacientes, de acuerdo con lo  establecido en este Contrato. Tanto el Cliente como los Profesionales a su cargo se comprometen  a no ceder, alquilar, arrendar, transmitir, prestar, vender, redistribuir, licenciar o sublicenciar la  Aplicación, ni poner a disposición de terceros ni hacerla accesible a través de Internet para que  pueda ser descargada por terceros para su distribución o para ser utilizada por terceras personas  o por múltiples dispositivos móviles al mismo tiempo. Ni el Cliente ni los Profesionales podrán  tampoco copiar, descompilar, realizar ingeniería inversa, desensamblar, intentar derivar el código  fuente, modificar ni crear trabajos derivados de la Aplicación, de cualquiera de sus  actualizaciones, o de cualquier parte de la misma, de modo total o parcial, directa o  indirectamente.

La realización por parte del Cliente o del Profesional de cualquiera de las conductas prohibidas  descritas anteriormente supondrá una violación de los derechos de Psious que podrá dar lugar  (i) a la resolución del presente contrato por parte de la misma, tal como se indica en la cláusula 12  de los presentes términos y condiciones, (ii) al inicio de acciones legales por parte de la Psious contra el infractor y (iii) a la reclamación de indemnización por daños y perjuicios que pudieran  ser ocasionados en perjuicio a Psious.

La aplicación de los términos del presente contrato se extenderá a cualquier actualización,  mejora, modificación, o nueva versión de la Aplicación que sea proporcionada por Psious, salvo  que dicha actualización, mejora, modificación, o nueva versión de la Aplicación se entregue previa  firma de un contrato separado cuyo objeto sea la regulación del uso de dicha actualización,  mejora, modificación, o nueva versión de la Aplicación.  

Ninguna de las Partes podrá actuar en representación de la otra ante terceras partes,  promoviendo o concluyendo negocios o contratos en nombre y por cuenta de aquélla, a no ser  que se haya dado consentimiento por escrito de la otra Parte.  

El presente Contrato no constituye ni en ningún caso se entenderá como constitutivo de agencia,  comisión mercantil, mediación o subcontratación, ni una relación de empleador y empleado, ni  como agrupación o unión de empresas entre las Partes.  

4. Derechos y Obligaciones de las Partes

A través de los presentes términos y condiciones se regulan los derechos y obligaciones que  nacen entre las Partes y que serán de obligado cumplimiento para ambas.  

El Cliente se compromete a cumplir sus obligaciones y garantizar que los Profesionales a su cargo usen la presente Licencia aplicando la diligencia propia de su profesión. 

Tanto el Cliente como los Profesionales podrán solicitar la información relativa a la Aplicación que  sea necesaria para usar la misma de modo adecuado, y Psious se compromete a facilitar dicha  información.  usar la misma de modo adecuado, y Psious se compromete a facilitar dicha información.

Durante la vigencia de las presentes condiciones los Profesionales deberán enviar información a  Psious, a través de la plataforma de la Aplicación u otras vías de comunicación (como, por  ejemplo, correo electrónico), que podrán ser observaciones, recomendaciones, sugerencias y/o  consejos que considere que pueden ser oportunos para el desarrollo y la mejora del uso y/o  funcionamiento de la Aplicación. 

Psious será el pleno titular y propietario de dichos Informes y demás contenidos que los  Profesionales entreguen a la misma a través de cualquier formato, incluyendo los derechos de  propiedad industrial e intelectual sobre dichos Informes y demás contenidos, por lo que la  Sociedad, podrá: (a) mostrar, ejecutar, copiar, crear trabajos derivados, y distribuir los Informes y  demás contenidos (sin referencia a la fuente); y (b) hacer, haber hecho, utilizar, comercializar,  ofrecer su comercialización, importar, exportar y de cualquier modo disponer de los Informes y  demás contenidos, así como incorporar los mismos y los trabajos que pudieran derivarse de los  mismos a la Aplicación.  

Las Partes entienden y aceptan que cualquier recomendación que realicen los Profesionales en  el contexto de las presentes condiciones se efectúa como mera propuesta, y que, en  consecuencia, los Profesionales no asumen ninguna responsabilidad que pueda derivarse del uso  o no uso por parte de Psious de las mencionadas recomendaciones, ni del logro de cualquier  finalidad particular por parte de Psious.  

En todo caso, el uso de la Aplicación por parte de los Profesionales está sujeto al cumplimiento  de los requisitos y a la obtención de las licencias, autorizaciones o consentimientos de terceros  que sean de aplicación de conformidad con lo establecido en la legislación aplicable.  

5. Garantía

La Aplicación y los elementos que la componen se entregan “Tal y Como se Encuentran”, sin  garantía expresa o implícita sobre su aptitud para finalidades particulares. Psious no garantiza ni  concede ninguna garantía sobre la Aplicación, incluyendo, sin limitación, cualquier garantía de  mercantibilidad, idoneidad para finalidades particulares, calidad satisfactoria, utilidad,  disponibilidad y continuidad del funcionamiento u operatividad ininterrumpida o exenta de  errores de la Aplicación, ni interoperabilidad con otro software o programa informático, aplicación  informática, o dispositivo de tercero. 

Psious no garantiza ni se responsabiliza del uso de la Aplicación por parte del Cliente, sus  Profesionales o de sus pacientes, ni de su capacidad para la realización de cualquier finalidad en  particular.  

Las Partes reconocen y aceptan que las Cláusulas contenidas en el presente documento no  constituyen ni puede entenderse que constituyan una obligación de resultado, ni una garantía o  un compromiso por parte de Psious de que como resultado del uso de la Aplicación, los Profesionales vayan a mejorar de modo efectivo el efecto de los tratamientos y terapias en sus  pacientes y los resultados de los mismos.

Las Partes se reconocen que el resultado de los tratamientos y terapias por los Profesionales en  pacientes dependen de aspectos ajenos a la Aplicación, dado que el estado de los pacientes, por  su naturaleza, no está condicionado, ni supeditado, ni depende de la Aplicación, por ello, los  Profesionales deberán mantener plenamente indemne a Psious de la totalidad de daños,  reclamaciones, responsabilidades, demandas, obligaciones, juicios, sentencias y gastos de todo  tipo en los que puedan incurrir como consecuencia de reclamaciones de terceros en relación con  el uso por su parte de la Aplicación.  

6. Pedidos y Compras

El Cliente podrá hacer sus pedidos poniéndose en contacto con Psious a través de cualquiera de  sus representantes de ventas autorizados, quienes informarán al Cliente de todos los pasos a  seguir para realizar el pedido de acuerdo con los packs de contratación.  

Una vez realizado el pedido, Psious enviará al Cliente los productos incluidos en su pack de  contratación en un plazo de aproximadamente veinte (20) días. 

Asimismo, Psious enviará al Cliente por correo electrónico, a la dirección indicada por el mismo a  tal efecto, las contraseñas y demás información para el correcto uso de la Aplicación.  

El precio de la Licencia será el indicado de acuerdo con el plan contratado a través de las  comunicaciones comerciales.  

El Cliente acepta recibir facturas de sus compras electrónicamente. Las facturas electrónicas  serán facilitadas en formato PDF a través del portal de accesible desde el área privada de la  plataforma. 

7. Información Aduanera

Cuando el Cliente realiza un pedido de productos en el Sitio Web para su entrega en un país no  perteneciente a la Unión Europea, el Cliente puede estar obligado a abonar derechos e impuestos  de importación, los cuales le serán cobrados en el momento en el que el paquete llegue a su  destino. Cualquier importe adicional debido al despacho aduanero correrá por cuenta del Cliente.  Psious no tiene control alguno sobre tales importes. 

Las políticas aduaneras varían significativamente de un país a otro por lo que, para mayor  información, le rogamos consulte con la oficina aduanera correspondiente. Recuerde, además,  que cuando realiza un pedido a PSIOUS formalmente la ley le considera a usted como  importador, y deberá por ello cumplir todas las leyes y reglamentos aplicables en el país en el que  recibe el producto.

8. Exención de Responsabilidad

El Cliente y, solidariamente, los Profesionales son los únicos responsables del buen uso de la  Aplicación. La información proporcionada por la Aplicación a partir de los datos interpretados por  los Profesionales tiene una finalidad meramente informativa y no debe servir ni ser utilizada como  orientación exclusiva para que los Profesionales tomen decisiones sobre el tratamiento y terapia  de sus pacientes, ni sustituye nunca el criterio de los Profesionales. Para cualquier decisión sobre  el tratamiento y la terapia, los Profesionales deberán basarse en su opinión, o en la opinión de  otro facultativo o profesional de la psicología cualificado, pero en ningún caso en la información  proporcionada por la Aplicación.  

Los Profesionales son los únicos responsables de revisar y evaluar la exactitud y relevancia de toda  la información suministrada, almacenada, generada o recibida a través de la Aplicación. En este  sentido, la Sociedad no ofrece ningún tipo de garantía respecto del uso de la Aplicación, ni  recomienda la adopción de ninguna terapia ni medida terapéutica particular derivada de la  información almacenada o recibida a través de la Aplicación. La Aplicación no constituye ni puede  ser considerada como constitutiva de una consulta ni de un tratamiento, terapia o prescripción  médica o clínica ni sustituye el tratamiento, diagnóstico, terapia ni la supervisión por parte de los Profesionales. La Aplicación no pretende informar sobre diagnósticos ni praxis terapéuticas, sino  orientar e informar al Profesional que utilice la Aplicación dentro de las posibilidades que ofrece  la misma en sintonía con los avances tecnológicos actuales.  

El Cliente y los Profesionales eximen explícitamente a Psious de cualquier responsabilidad por el  uso de la Aplicación, así como a sus administradores, empleados, colaboradores, socios, agentes,  y filiales, que, en ningún caso, serán responsables por pérdidas, daño emergente, lucro cesante,  costes, gastos, daños directos o indirectos, incluyendo, entre otros, sin limitación, daños por la  interrupción del funcionamiento de la Aplicación, pérdida de datos o la pérdida de beneficios,  daños por interrupción de su actividad, ni por responsabilidad contractual o extracontractual,  incluyendo negligencia o culpa, incurridos o experimentados por los Profesionales o por cualquier  tercero, ya se hayan producido o estén relacionados con el acceso o el uso de la Aplicación, con la  información contenida en la Aplicación, o la información que pudiera ser suministrada por la  Aplicación a los Profesionales, incluso si se advirtiera de la posibilidad de tales daños, o por  cualquier otra causa e independientemente de cómo se produzca.  

Las Partes reconocen y aceptan que los Profesionales son plenamente libres de aplicar o no  aplicar las recomendaciones que la Aplicación les proponga en cada momento durante la  prestación de sus servicios a sus pacientes, y, en todo caso, los Profesionales eximen a la Sociedad  de cualquier responsabilidad en que los Profesionales puedan incurrir como consecuencia de los  daños y perjuicios que se puedan producir a los pacientes o a terceros por la aplicación o no  aplicación de la Aplicación.  

9. Confidencialidad

Las Partes reconocen que la divulgación de la Información Confidencial por parte de los  Profesionales, durante el plazo de vigencia de la relación contractual, o con posterioridad a la  misma puede causar graves perjuicios a Psious. 

En consecuencia, tanto el Cliente como los Profesionales se comprometen a preservar la  confidencialidad y el secreto sobre la Información Confidencial, y se obligan a no transmitir tal  información, de modo total o parcial, directo o indirecto, por sí mismo, o a través de terceros, sin  el consentimiento expreso, y por escrito por parte de Psious, salvo que su divulgación sea  necesaria para permitir los Profesionales cumplir con sus servicios o términos del presente  contrato, o dicha comunicación sea en aras del cumplimiento de una obligación legal. Además,  el Cliente y los Profesionales pueden compartir información Confidencial con sus trabajadores,  directivos, asesores y colaboradores, haciéndose dichos terceros responsables solidarios de los  actos de los mismos.  

Las Partes adoptarán todas las medidas necesarias para preservar la confidencialidad y secreto  de la Información Confidencial y se comprometen a colaborar con la otra Parte en la protección  de esta información frente a cualquier violación de la misma, parcial o total, por parte de terceros,  de la que pudieran tener conocimiento.  

10. Propiedad Industrial e Intelectual

Psious ha desarrollado y es propietaria y titular plena y exclusiva de todos los derechos de  Propiedad Industrial e Intelectual sobre la Aplicación, así como de sus actualizaciones, mejoras,  revisiones, ampliaciones, modificaciones, adaptaciones, rectificaciones, traducciones, o nuevas  versiones. Psious se reserva el resto de derechos que no conceda de manera expresa en virtud de  este Contrato.  

Tanto el Cliente como los Profesionales se comprometen a respetar y mantener los derechos de  Propiedad Industrial e Intelectual de la Aplicación, así como de la documentación e información  que la Psious ponga a su disposición en cumplimiento de lo establecido en las presentes  condiciones.  

El Cliente colaborará con Psious en la protección de dichos derechos de Propiedad Industrial e  Intelectual de la Aplicación, o de cualquier otro derecho de Propiedad Industrial e Intelectual de  Psious y comunicará a la misma de cualquier infracción de dichos derechos de los que tenga  conocimiento directa o indirectamente.  

No obstante, Psious autoriza al Cliente para que pueda utilizar los contenidos gráficos (como, por  ejemplo, imágenes, fotografías, vídeos, etc.) incluidos en la Aplicación para la realización de su  actividad profesional y para la realización de publicidad de la misma siempre y cuando, en dichos  contenidos se haga mención a la Sociedad o se incluya el nombre de la misma o la marca Psious,  todo ello, de forma visible. La presente autorización se concede durante la vigencia de la Licencia  y siempre y cuando el Cliente realice un buen uso de la misma y no perjudique la imagen de la  Sociedad, de la Aplicación o de Psious. Asimismo, la Sociedad podrá revocar en cualquier  momento la presente autorización y rescindir la Licencia si considera que el Cliente no está  realizando un buen uso del contenido gráfico o si no se incluye el nombre de la Sociedad o de la  marca Psious. 

11. Protección de Datos de Carácter Personal

De acuerdo con la normativa aplicable, se informa que Psious es el responsable del tratamiento  de sus datos personales, los cuales son necesarios para prestar el Servicio descrito en las presentes  condiciones. 

Las finalidades llevadas a cabo son: gestionar la plataforma y licencia, activar y gestionar la cuenta  cuando sea aplicable, responder peticiones, facilitando información relacionada con los  productos.  

La base legal para el tratamiento de sus datos es la ejecución del acuerdo de prestación de  servicios y el cumplimiento de una obligación legal. Sus datos personales no se tratarán para  finalidades de venta directa, salvo que lo haya consentido expresamente. No se cederán sus datos  a terceros, salvo obligación legal y salvo que sea necesario para llevar a cabo nuestro  servicio. También se informa al cliente, que para garantizar el servicio llevado a cabo, recibirá un  SMS para poder descargar la App. 

Sus datos personales se conservarán mientras se mantenga la relación contractual y, en todo  caso, hasta que transcurra el plazo para exigir responsabilidades o para presentar reclamaciones  vinculadas con la relación contractual preexistente. En el resto de los casos, los datos personales  proporcionados se conservarán mientras no se solicite su supresión por el Interesado, en cuyo  caso procederemos a su bloqueo. 

De acuerdo con la legislación aplicable, Vd. tiene derecho a acceder, rectificar a que se traten  sus datos para finalidades de venta directa y a revocar su consentimiento, cuando la base legal  del tratamiento se base en el consentimiento. 

En determinadas circunstancias, de acuerdo a lo dispuesto en la legislación aplicable Vd. podrá  ejercitar sus derechos de limitación del tratamiento y portabilidad, en cuyo caso únicamente los  conservaremos para el ejercicio o la defensa de reclamaciones. 

Asimismo, se le informa que Psious ha implementado todas las medidas técnicas y  organizativas necesarias para llevar a cabo el tratamiento de sus datos. 

Vd. puede ejercitar sus derechos enviado un e-mail a info@psious.com o bien, mediante escrito  dirigido a la siguiente dirección: St. Antoni Maria Claret, 167, (Pabellón St. Manel), 08025 Barcelona,  España, portadora del N.I.F. no B-66.099.532, aportando acreditación de su identidad. Finalmente,  de conformidad de la legislación aplicable, le informamos de que Vd. tiene derecho a acudir ante  la Agencia Estatal de Protección de Datos para presentar una reclamación relativa al tratamiento  de sus datos. 

12. Duración y terminación de la Licencia

Las presentes condiciones generales serán de aplicación para cada Cliente desde el día en que dicho Cliente realice un pedido a Psious y se mantendrán vigentes de forma indefinida, salvo que  se disponga lo contrario en la contratación.

El Cliente podrá darse de baja del servicio y, por lo tanto, terminar la Licencia en cualquier  momento siempre que medie un aviso con más de 15 días de antelación antes de que finalice el  periodo de facturación en curso. En caso de que el Cliente no comunique la terminación de la  Licencia con el citado preaviso, Psious podrá cobrar al Cliente el importe correspondiente al mes  natural siguiente.  

Asimismo, en el supuesto que el Cliente o sus Profesionales incumplieran cualquiera de las  obligaciones contenidas en las presentes condiciones generales aceptadas aplicables a la  Licencia, Psious podrá (i) resolver la Licencia, (ii) iniciar acciones legales contra el Cliente y contra  el Profesional incumplidor; (iii) reclamar indemnización por daños y perjuicios; y (iv) requerir al  Cliente la devolución de cualquier elemento de la Aplicación, quien vendrá obligado a ello.  

Una vez terminada la Licencia, el Cliente deberá abstenerse de realizar cualquier uso de la  Aplicación y sus contraseñas y usuarios de acceso serán bloqueados.  

12.1. Modo de cancelación de la suscripción 

Se establece como requisito obligatorio que para la cancelación de la suscripción se haga una  reunión obligatoria de 15 minutos con el departamento de atención al cliente para poder  gestionar la cancelación de forma efectiva.

13. Datos personales de menores de edad 

Con carácter general, Psious no trata datos de carácter personal de menores de edad. Sin  perjuicio de lo anterior, los Profesionales pueden dirigir sus servicios a pacientes menores,  siempre y cuando cumplan con la normativa legal aplicable. Por lo tanto, el Cliente y los  Profesionales exoneran a Psious de cualquier tipo de responsabilidad que pueda derivarse de la  misma.

14. Fuerza Mayor 

Ninguna de las Partes será responsable del incumplimiento de cualquiera de las obligaciones asumidas en el presente contrato, si tal incumplimiento fuera debido a circunstancias de fuerza  mayor que se encuentren más allá del control razonable de la parte que no cumple, a la cual se  concederá un período de tiempo razonable para el cumplimiento de la misma.  

15. Buena Fe 

El presente contrato se ejecutará y cumplirá de buena fe, según los términos en que ha sido  redactado, sin tergiversar con interpretaciones arbitrarias el sentido recto, propio y usual de las  palabras escritas, ni restringir los efectos que naturalmente se deriven del modo con que las  Partes han explicado su voluntad y contraído sus obligaciones.

17. Ley aplicable y jurisdicción

Los términos y condiciones del presente Contrato se regirán conforme a la legislación española  vigente en cada momento. El Cliente acepta expresamente y de modo irrevocable someter  cualquier controversia que pudiera suscitarse en la interpretación, cumplimiento, o aplicación de  este Contrato, a la jurisdicción exclusiva de los Juzgados y Tribunales de la ciudad de Barcelona  (España).  

18. Modificación 

La Sociedad se reserva el derecho a modificar las presentes condiciones generales.  Versión actualizada en enero de 2022.
